HCL Enterprise Founded
In August 1976, Shiv Nadar and seven co-founders (Arjun Malhotra, Ajai Chowdhry, D.S. Puri, Yogesh Vaidya, Subhash Arora, and others)—all former Delhi Cloth & General Mills employees—start Microcomp Limited in a Delhi rooftop apartment, initially selling teledigital calculators to raise capital. The company renames to Hindustan Computers Limited (HCL) on August 11, 1976, with ₹1.87 lakh investment. HCL develops India’s first indigenous microcomputer in 1978, an RDBMS in 1983, India’s first UNIX-based computer in 1985, and a symmetric multiprocessor system (Magnum) in 1988—three years ahead of Sun and HP.
1991–1999
Software Services Spin-off
On November 12, 1991, HCL Technologies is incorporated as HCL Overseas Limited to provide software services, marking HCL Enterprise’s entry into the IT services business. In 1993, HCL wins the contract to build India’s first floorless electronic stock exchange for NSE. The company name changes to HCL Consulting Limited (1994) and then HCL Technologies Limited (October 1999). Throughout the decade, HCL expands software development to the U.S., Europe, and Asia-Pacific markets, establishing delivery centers worldwide.
2000–2007
IPO & Global Expansion
HCL Technologies goes public on January 11, 2000, with an IPO of 14.2 million shares. The company forms strategic joint ventures with Perot Systems, Deutsche Bank (acquiring 51% of Deutsche Software in 2001, buying out the remaining 49% in 2004), and NEC Corporation. In 2003, HCL wins a contract to develop embedded software for Airbus A340’s flight warning system and sells its stake in HCL Perot Systems to Perot for $105 million. 2007–2017
Vineet Nayar Era & Axon Acquisition
Vineet Nayar becomes CEO (2007–2013), known for his “Employees First, Customers Second” philosophy. In 2008, HCL acquires UK-based SAP consultancy Axon Group for £440 million ($720 million), the company’s largest acquisition at the time. The EAS (enterprise application services) division grows from 9% to 22% of HCL revenue within three years. In 2015, HCL partners with Manchester United to build a global fan engagement platform. 2018–2019
IBM Software Acquisition
In December 2018, HCL announces the acquisition of seven IBM software products for $1.8 billion—the largest deal ever by an Indian IT company. The products include Notes/Domino (collaboration), BigFix (endpoint security), AppScan (application security), Unica (marketing automation), Commerce, Portal, and Connections. The deal closes in July 2019. HCL creates HCLSoftware as a new business unit to house these products alongside DRYiCE (AI tools) and Actian (database software, acquired for $330 million in 2018). HCL crosses $10 billion in revenue in 2021—the fastest tech services company to reach that milestone.
2020–2022
Leadership Transition & Rebrand
In August 2020, Shiv Nadar steps down as Chairman and his daughter Roshni Nadar Malhotra becomes Chairperson—the first woman to chair a listed Indian IT company. In July 2021, Nadar also steps down as Managing Director; C Vijayakumar (CEO since 2018) assumes both roles for a five-year term. Nadar becomes Chairman Emeritus and Strategic Advisor. In 2022, the company rebrands from “HCL Technologies” to “HCLTech” with a renewed focus on digital consulting and engineering services.

Major Contracts & Continued Growth
In August 2023, HCLTech signs a $2.1 billion managed network services deal with Verizon Business—one of the largest contracts in the company’s history. Shiv Nadar (1945–)
Shiv Nadar was born on July 14, 1945, in Moolaipozhi village near Tiruchendur in Tamil Nadu. After attending several schools in Kumbakonam, Madurai, and Trichy, he studied pre-university at American College, Madurai, and earned a degree in Electrical Engineering from PSG College of Technology, Coimbatore (1967). Nadar started his career at Walchand group’s Cooper Engineering in Pune before leaving to become an entrepreneur.
In 1976, Nadar and seven colleagues from Delhi Cloth & General Mills founded HCL in a Delhi rooftop apartment with an investment of ₹1.87 lakh (approximately $23,000 at the time). At a time when India had only 250 computers, Nadar believed the microprocessor would change the world. HCL developed India’s first indigenous microcomputer (1978) and pioneered UNIX systems in India, building the foundation for the country’s IT industry.
Nadar served as CEO of HCL until 2007, then as Chairman until stepping down in August 2020, when his daughter Roshni Nadar Malhotra succeeded him. He remains Chairman Emeritus and Strategic Advisor.
